These Website Terms of Use govern your access to and use of the website operated by GS Consulting, LLC, including pages, content, articles, downloadable resources, forms, and related online features.
By accessing or using the website, submitting information through the website, downloading materials, or otherwise interacting with us through the website, you agree to these Terms. If you do not agree, do not use the website.
1. Website Use Only; Separate Client Agreements Required
The website is provided for general informational, marketing, recruiting, and business-development purposes. Use of the website does not create a client, consulting, professional-services, employment, contractor, joint venture, fiduciary, agency, or other special relationship with GS Consulting.
All paid consulting, technical, cybersecurity, AI, compliance, software, cloud, data, staffing, subcontracting, or other professional services provided by GS Consulting are governed only by a separately signed written agreement, such as a Master Services Agreement, subcontract, purchase order, task order, or statement of work. These Terms do not replace, modify, or control any signed agreement between you and GS Consulting unless the signed agreement expressly says so.
2. U.S.-Focused Website
The website is intended primarily for users located in the United States and for organizations operating in U.S. commercial, federal, defense, intelligence, government-contracting, technology, cybersecurity, and related markets. We do not represent that the website is appropriate or available for use in all jurisdictions.
You are responsible for complying with all laws that apply to your access to and use of the website.
3. No Submission of Sensitive, Classified, Controlled, or Restricted Information
You must not submit, upload, transmit, email, or otherwise provide to GS Consulting through the website, general contact forms, downloadable-resource forms, or general email channels any information that is classified, controlled, restricted, regulated, sensitive, or not authorized for general transmission.
This includes, without limitation:

General website forms and info@gsconsultingllc.com are not approved channels for classified information, CUI, export-controlled information, government-furnished information, or other restricted data. If you believe GS Consulting needs to receive sensitive information, do not send it until an authorized GS Consulting representative has confirmed the approved channel and applicable written agreement.
You are solely responsible for ensuring that any information you provide to GS Consulting is authorized for disclosure and transmission.
4. Informational Content; No Professional Reliance

Without limiting the foregoing, GS Consulting does not guarantee:
- award of any government or commercial contract
- approval by any contracting officer, agency, prime contractor, customer, or security office
- CMMC certification or assessment results
- NIST, DFARS, FAR, FedRAMP, FISMA, RMF, CUI, or other compliance outcomes
- authority to operate, security authorization, or accreditation
- prevention of security incidents
- uninterrupted or error-free systems
- specific AI model performance
- specific software, data, or cloud performance
- any hiring, employment, clearance, background-investigation, or placement outcome
6. Intellectual Property
The website and its content, including text, articles, graphics, logos, designs, layouts, service descriptions, frameworks, downloadable resources, and other materials, are owned by GS Consulting or its licensors and are protected by intellectual property and other laws.
Subject to these Terms, GS Consulting grants you a limited, revocable, nonexclusive, nontransferable license to access and use the website for your internal informational and evaluation purposes.

Downloading a resource does not create a consulting relationship, client relationship, NDA, confidentiality obligation, or professional-services engagement.

10. AI-Assisted Content, Applicant Review, and Services
GS Consulting may use artificial intelligence, machine learning, automation, analytics, or similar tools to support its business operations, including to assist with drafting or generating website content, developing educational materials, organizing internal information, analyzing resumes or applicant materials, and delivering services to clients under separate written agreements.
AI-generated or AI-assisted website content is provided for informational purposes only and may contain errors, omissions, or outdated information. You should independently verify information before relying on it.
GS Consulting does not use the website to provide automated legal, compliance, cybersecurity-certification, procurement, or employment decisions. Human review remains part of GS Consulting's business and recruiting processes. Any use of AI in client services will be governed by the applicable signed agreement, statement of work, security requirements, and client-approved procedures.
11. Prohibited Conduct
You agree not to:
- use the website for unlawful, fraudulent, deceptive, abusive, or harmful purposes

To the maximum extent permitted by law, GS Consulting's total liability for all claims arising out of or related to the website or these Terms will not exceed one hundred dollars ($100).
Nothing in these Terms limits liability that cannot be limited under applicable law.
16. Indemnification
You agree to defend, indemnify, and hold harmless GS Consulting and its owners, officers, employees, contractors, agents, representatives, affiliates, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

17. Dispute Resolution; Maryland Arbitration; Class Action Waiver
Please read this section carefully. It affects your legal rights.
Informal Resolution
Before initiating arbitration or litigation, you and GS Consulting agree to attempt to resolve any dispute informally. The party raising the dispute must provide written notice describing the dispute, the requested relief, and contact information. The parties will attempt in good faith to resolve the dispute for at least thirty (30) days after notice is received.
Binding Arbitration
Except for the exclusions below, any dispute, claim, or controversy arising out of or relating to the website, these Terms, website content, downloadable resources, or communications submitted through the website will be resolved by final and binding arbitration.
The arbitration will be administered by the American Arbitration Association, or AAA, under its applicable rules. If the AAA is unavailable or unwilling to administer the arbitration, the parties will agree on another neutral arbitration provider. If they cannot agree, a court of competent jurisdiction in Maryland may appoint an arbitrator.
The arbitration will take place in Baltimore County, Maryland, unless the parties agree to remote arbitration or another Maryland location. The arbitrator will apply Maryland law, without regard to conflict-of-law rules.
The arbitrator may award any relief available in court, except that the arbitrator may not conduct a class, collective, consolidated, private-attorney-general, or representative proceeding unless both parties expressly agree in writing after the dispute arises.
Court Proceedings for Limited Matters
Either party may bring an individual claim in small-claims court if the claim qualifies.
Either party may seek temporary, preliminary, or permanent injunctive relief in a court of competent jurisdiction in Maryland to protect intellectual property, confidential information, data security, systems, restricted information, or unauthorized website use.
Either party may also seek court assistance in Maryland to compel arbitration, stay litigation, confirm an arbitration award, modify an award, or enter judgment on an award.
Class Action and Jury Trial Waiver
To the maximum extent permitted by law, you and GS Consulting agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, class member, or representative in any class, collective, consolidated, private-attorney-general, or representative proceeding.
To the maximum extent permitted by law, you and GS Consulting waive any right to a jury trial for disputes that are not subject to arbitration.
Employment-Related Matters
This website arbitration provision is intended to apply to disputes arising from website use and public website communications. It is not intended to govern employment-related claims, employee arbitration agreements, offer letters, employment agreements, contractor agreements, or workplace policies unless a separate written agreement expressly says so.
18. Governing Law and Maryland Venue
These Terms and any dispute arising out of or relating to the website are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.
Subject to the arbitration provision above, the exclusive venue for any court proceeding arising out of or relating to the website or these Terms will be the state or federal courts located in Maryland, and you consent to personal jurisdiction in those courts.
19. Changes to the Website and Terms
GS Consulting may update, modify, suspend, or discontinue the website, website content, downloadable resources, or these Terms at any time. Updated Terms will be posted on the website with a revised effective date.
Your continued use of the website after updated Terms are posted means you accept the updated Terms.
20. Termination
GS Consulting may restrict, suspend, or terminate your access to the website at any time if we believe you have violated these Terms, created risk, violated law, infringed rights, attempted unauthorized access, or otherwise used the website inappropriately.

22. Miscellaneous
